Technology Due Diligence

Technology risk in a transaction is usually structural, not incidental.

Principally

  • Architecture and infrastructure assessment
  • Scalability review against the investment thesis
  • Resilience, continuity and concentration risk

Consider this engagement when

  • An acquisition depends on technology scaling well beyond current volume.
  • The target's architecture has never been reviewed by an independent party.
  • Post-completion integration cost needs to be understood before signing.
PLANCONSTRAINT
Capability flattens where architecture, supplier concentration and technical debt bind, usually well before the investment case does.
Why this work matters

Diligence that stops at an inventory and a headcount misses what matters. The material questions are whether the architecture scales to the plan being underwritten, what the estate genuinely costs to run, which dependencies sit with a single supplier or a single person, and what remediation will need funding in the first two years.

We assess those questions on transaction timelines and report in terms an investment committee can act on: rated risk, the remediation to fund, and the conditions under which the plan holds.

Typical outputs

  • Technology diligence report with risk ratings
  • Remediation plan with indicative cost and sequence
  • Scalability assessment against the growth case
  • Integration or separation considerations

Capabilities

  • Scalability review against the investment thesis
  • Resilience, continuity and concentration risk
  • Technology debt identification and costing
  • Vendor, contract and licensing exposure
  • Security and compliance posture review
  • Post-acquisition integration assessment
